Please carefully review these Terms of Service ("Terms") as they establish a legally binding agreement between you and Second Phone Number Inc ("We," "Us," or "Our").

By accessing or using our Website (www.phonenumber.ai) and our communication application 'AI Line' (the "App"), collectively known as the "Services", you acknowledge and agree to comply with these Terms. We may periodically revise these Terms, unless otherwise stated, these Terms apply when using of our Services.

Throughout these Terms, “you”, “your” and “User” refer to any individual or entity using the Services. If you are using the Services on behalf of a company or other legal entity, “you” includes both you as an individual and the entity you represent. You hereby represent and warrant that: (a) you have the authority to bind such entity to these Terms, and (b) you are agreeing to these Terms on behalf of such entity.

We continuously strive to enhance our Services, which may involve expanding, adding, or removing features, functionalities, and support for certain devices and platforms. Our Services may experience interruptions due to maintenance, repairs, upgrades, or network/equipment failures. Unforeseen events beyond our control, such as natural disasters or other force majeure events, may also affect Service availability. You agree that we bear no responsibility or liability in these circumstances.

Second Phone Number Inc reserves the right, in its sole discretion, to select markets and jurisdictions where it conducts business and may restrict or refuse access to our Services in certain countries or regions. This document outlines your obligations and legal rights, including important provisions regarding waivers of rights and limitations of liability.

Use of the Services and Restrictions

By completing registration, Users accept full responsibility for all activities associated with the account linked to their mobile phone number at the time of signing up. Users must immediately notify us if they suspect any unauthorized access, disclosure, or theft of their personal information, including account details or credentials. Registration for our Services is subject to the following conditions:

• Unless explicitly permitted, your account may not be shared with other individuals.
• Each user must typically register only one account unless otherwise specified.
• Users may terminate their account and cease using the Services at any time.

We reserve the right to suspend or terminate your account at any time and without prior notice, at our sole discretion, in the following circumstances:

• Violation of these Terms;
• Your use of the Services causes harm to us, other Users, or third parties;
• Your use of the Services may violate applicable laws or regulations;
• Legal action or governmental investigation;
• The account or its use is deemed inappropriate, offensive, or in violation of these Terms.

Account suspension or deletion does not entitle Users to compensation, damages, or reimbursement claims and does not relieve the User of any applicable fees.

With your permission and in compliance with applicable laws, you may allow access to your mobile address book, enabling us to regularly obtain phone numbers, including those of both App users and your other contacts.

To utilize our Services, you must provide compatible devices, software, and data connections, which we do not supply. You consent to manually or automatically download and install updates to our Services as needed. You also agree to receive necessary notifications from us via our Services to facilitate proper functionality.

You are responsible for all carrier data plans, Internet fees, and other charges and taxes associated with your use of our Services.

Except as required by law, we are not obligated to store your voicemails, call records, text messages, images, or other information maintained or transmitted through the Services. You acknowledge that we have no liability whatsoever for the deletion or failure to store any such information.

You must use our Services in accordance with our terms and policies. Violations may result in account actions, including disabling or suspension, and you agree not to create another account without our explicit permission. Such actions will be conducted in accordance with the "Termination" section below.

You must access and use our Services solely for legal, authorized, and acceptable purposes. You will not use (or assist others in using) our Services in ways that:

• Infringe upon the rights of Second Phone Number Inc, our users, or others, including privacy, publicity, intellectual property, or other proprietary rights;
• Are illegal, obscene, defamatory, threatening, harassing, hateful, racially or ethnically offensive, or encourage conduct that would be illegal or otherwise inappropriate;
• Involve publishing false information, misrepresentations, or misleading statements;
• Impersonate another individual or entity;
• Involve sending illegal communications, such as bulk messaging, auto-messaging, auto-dialing, etc.;
• Involve any non-personal use of our Services unless expressly authorized by us.

Users must be at least 18 years old to access the App. Users aged 13-17 may use the App only with parental or guardian consent and supervision. Users under 13 years of age are prohibited from using the App.

You agree not to use the App in any manner that:

• Is unlawful, illegal, or unauthorized;
• Is defamatory toward any other person;
• Is obscene or offensive in nature;
• Infringes upon any copyright, database right, or trademark of any other person;
• Advocates, promotes, or assists in any unlawful activities, including copyright infringement or computer misuse;
• Violates the Telephone Consumer Protection Act ("TCPA"). We may immediately terminate or suspend access to the App without prior notice for any violations related to TCPA-regulated content sent via SMS/MMS.

You shall not distribute, make available, or otherwise provide the Website or the App to any third parties. Additionally, you shall not modify, translate, reverse engineer, decompile, disassemble, or create derivative works from the App or any documentation related to the App.

You shall not transfer, lend, rent, lease, distribute the App, or use it to provide services to third parties, nor grant any rights to the App or its documentation to third parties.

Misuse of trademarks or any other content displayed on the App is strictly prohibited.

We are not responsible for your use of the App. We reserve the right to investigate and take necessary actions against violations, including but not limited to content removal, account suspension, or termination, and may involve law enforcement authorities as needed. We may pursue all available legal remedies against users who violate these Terms, as permitted by applicable laws.

Access to our Services is provided through a Paid Subscription basis. By registering and ordering Paid Subscription in our application, you agree to the payment terms and conditions outlined herein.

Paid subscriptions to our services renew automatically. After completing registration and submitting payment information, if you do not cancel at least 24-hours prior to expiration, you will be charged the stated subscription amount for the trial period at the end of the free trial period (if applicable). You hereby agree to and authorize automatic (recurring) billing, and you agree to pay the fees charged to your account in connection therewith. You will pay the then applicable subscription price plus any applicable taxes. Payments for renewed subscriptions are processed using the same billing cycle as your current subscription. To the maximum extent permitted by applicable law, subscription fees are subject to change at any time. Your subscription and monthly billing to your account will continue indefinitely until cancelled by you in accordance with the "Cancellation & Refunds" section of this Agreement.

By following the instructions in the Apple Software Store or Google Play Store, you can cancel your subscription and recurring payments at any time if you purchased the app from the company that owns the mobile platform (such as Apple or Google). If you have a paid subscription, you won't be eligible for a return of any remaining funds if you decide to cancel. Once charges have been made during the billing period, subscriptions cannot be refunded.

Upon signing up for our App and subscribing to Paid Subscription, we may assign a selected phone number to you, enabling you to send text messages and make calls to individuals who do not use Our App. This feature is designed to seamlessly integrate with your existing contact list for a streamlined communication experience.

The phone number assigned to you remains the property of Second Phone Number Inc and is provided for use exclusively within the context of Our App's services. We reserve the right to reassign this phone number to another user following your subscription expiration or in the event of non-compliance with applicable telephone number usage laws or these Terms.

We cannot guarantee the availability of specifically requested telephone numbers or area codes. We will not be liable for any expenses or damages you incur related to the assignment of a specific telephone number, including consequential or special damages arising from the unavailability or reassignment of a number at any time.

Second Phone Number Inc develops and provides the communication application 'AI Line', which incorporates an Artificial Intelligence (AI) agent powered by Large Language Models (LLMs). This AI functionality accesses user conversations to facilitate faster and more accurate communication. The AI agent is specifically designed to transcribe verbal communications, summarize conversations, and respond to inquiries.

The AI Agent within Our App is designed to assist with communication tasks including transcribing, summarizing conversations, and responding to inquiries. It serves as a tool to enhance communication efficiency and is not a substitute for human judgment. Our AI assistant service operates utilizing third-party Large Language Models (LLMs) accessed via API. This process involves converting spoken or typed dialogue into digital text, which is then stored in vector databases to optimize processing efficiency. While we strive for high transcription accuracy, we cannot guarantee absolute precision in transcription or subsequent data storage. As these LLMs are developed by external parties, we expressly disclaim responsibility for any inaccuracies in stored data or AI-generated responses. Users should recognize that responses from these third-party AI models, despite their sophistication, may not always be accurate and should never replace human judgment. These AI tools are intended to supplement user communication, not to substitute personal discernment or professional advice.

You acknowledge that the Services may operate on, integrate with, or utilize application programming interfaces (APIs) and other services provided by third parties (“Third Party Services”). This includes connections to services such as VoIP providers for person-to-person communication, large language models for Our AI agent functionality, and app stores for downloading Our App (including Apple's App Store).

We are not responsible for the performance, availability, or functionality of any Third Party Services. You are solely responsible for obtaining necessary rights and complying with applicable terms and conditions when accessing Third Party Services. We make no representations or warranties regarding Third Party Services or their providers. Your interactions with Third Party Services, including any data exchanges, are governed by the third party’s terms and conditions and are your sole responsibility.

You acknowledge and agree that we may preserve content and disclose conversations, texts, or other content (including call logs, transcripts, and phone number records) when required by law or when we believe in good faith that such preservation or disclosure is necessary to comply with legal processes, applicable laws, or government requests. We will make reasonable efforts to notify affected users of such disclosure unless prohibited by law or valid legal process. Additionally, we may preserve content to:

• Enforce these Terms;
• Respond to claims that content violates third-party rights;
• Protect the rights, property, or personal safety of Second Phone Number Inc, its users, and the public.

You understand that the technical processing and transmission of the Services, including your conversations, texts, or other content, may involve:

• Transmissions over various networks;
• Modifications to conform to and accommodate technical requirements of connecting networks or devices.

We may immediately terminate or suspend access to the App without prior notice for any breach of these Terms.

You may end your relationship with us at any time for any reason by deleting your account by following the app's Line>Settings>Account Settings>Delete Account.

In accordance with this "Termination" section, we may also modify, suspend, or terminate your access to or use of our Services at any time for suspicious, unlawful, or harmful conduct, including fraud, or if we reasonably believe you violate our Terms or create risk or legal exposure for us, our users, or others. We may also disable or delete your account if it remains inactive for an extended period following registration.

The disclaimer of warranties, representations, and the provisions related to indemnity and limitation of liability shall remain in effect indefinitely.

The Website, the App, and all original content, features, and functionality therein are and will remain the exclusive property of Second Phone Number Inc. All content on our App, including graphics, texts, and logos, is protected by intellectual property laws. Any reproduction, in whole or in part, of App content is strictly prohibited without prior written consent.

You retain ownership of any text, images, or other content you create while using the App. However, by using the App, you grant Second Phone Number Inc a non-exclusive license to use this content for the operation and improvement of the App.

Users are solely responsible for their content and any content they upload, post, share, or provide through the App or Website. Users acknowledge that Second Phone Number Inc does not filter or moderate user-generated content. However, Second Phone Number Inc reserves the right to remove, delete, block, or modify such content at its discretion.

We make no warranty of any kind, express or implied, as to the merchantability, technical compatibility or fitness for a particular purpose of any services, products or materials provided under this Agreement. AI Line also expressly disclaims warranties of any kind, express or implied, regarding the accuracy of its blocking activities, any information the service provides about any caller, any lost call data, or the legality of the use of any service in any particular state or the United States any country other than that.

The App does not provide access to emergency services or emergency service providers. You should ensure you have alternative means to contact emergency services providers through a mobile phone, fixed-line telephone, or other service.

These Terms are governed by the laws of Delaware without regard to its conflict of law principles.
